These Terms of Service govern all website design, custom front-end development, digital catalog creation, and technical consulting services provided by Stackvel Solutions to corporate clients, specifically industrial and manufacturing enterprises in the United States and abroad.
1. Agreement & Parties
By executing an agreed Statement of Work (SOW), issuing a purchase order, or submitting a project commencement deposit, you ("Client") agree to be bound by these Terms of Service. Stackvel Solutions operates as an independent technical contractor based in Pune, India, serving remote business clients globally.
2. Scopes & Deliverables
Each engagement is strictly defined by an approved written Statement of Work referencing one of our standardized manufacturing packages or a custom scope:
- Essentials Package (from $1,500 USD): Up to 5 custom-designed content pages, responsive layout, capability overview, CSRF-protected contact form, and 2 consolidated revision rounds.
- Manufacturer Package (from $2,500 USD): Up to 10 custom pages, dedicated process & industry application pages, RFQ field capture architecture, quality/certification showcase, and 3 consolidated revision rounds.
- Product Catalog Scope (from $4,000 USD): Up to 15 pages with structured category browsing, up to 20 initial product SKU setups, product-specific inquiry paths, downloadable technical spec sheet links, and 3 consolidated revision rounds.
Explicit Exclusions: Unless separately quoted and approved in writing, website scopes do not include ongoing hosting fees, domain renewals, third-party software licenses, copywriting, raw photography, CAD conversion, multi-currency ecommerce checkouts, or ongoing search engine optimization (SEO) marketing.
3. Client Responsibilities & Materials
To ensure project momentum and meet target launch milestones, Client agrees to:
- Provide high-resolution logos, brand vector files, equipment photography, facility imagery, and technical product data sheets promptly.
- Ensure all submitted content, copy, certifications, and trademarks are owned by Client or properly licensed for web publication.
- Designate a primary decision-maker with authority to provide unified, consolidated feedback and sign off on milestone completions.
- Provide feedback or approval within five (5) business days of milestone presentation to avoid staging deployment freezes.
4. Milestone Payments & Invoicing
All contracts are denominated and settled in United States Dollars (USD) via secure international wire transfer, credit card, or ACH transfer through our authorized billing merchant.
- Commencement Deposit: A non-refundable 50% mobilization deposit is required prior to schedule reservation and design inception.
- Milestone Settlement: Intermediate and final balances (typically 50% upon functional staging approval prior to DNS pointing) must be settled within seven (7) business days of invoice issuance.
- Late Settlements: Invoices overdue by more than fourteen (14) days may incur a 1.5% monthly late fee and temporary pause of live deployment support.
5. Intellectual Property Rights & Code Ownership
We believe clients should own what they pay for. Upon receipt of full and final payment for all contracted milestones:
- Exclusive Client Assignment: Stackvel Solutions assigns to Client all right, title, and ownership in the bespoke HTML, CSS, client-specific assets, and graphical layouts produced specifically for the project.
- Pre-existing Code & Libraries: Open-source utilities, standard JavaScript snippets, and base boilerplate patterns remain subject to their respective open-source licenses (MIT, Apache 2.0).
- Portfolio Demonstration: Stackvel Solutions retains the non-exclusive right to display completed project screenshots, design previews, and client URLs in our professional design portfolio, case studies, and marketing presentations.
6. Consolidated Revision Protocol
Revisions are structured to guarantee focus and avoid perpetual redesign loops:
- Each project tier includes an agreed number of consolidated revision rounds. A revision round consists of a single aggregated list of actionable requests submitted by Client’s authorized lead.
- Revisions must align with the approved wireframe and information architecture. Substantial structural redesigns or brand direction changes after initial milestone sign-off constitute out-of-scope work.
- Out-of-scope requests will be scoped and quoted as an addendum at our standard technical consulting rate of $75 USD/hour before implementation.
7. Technical Warranties & Limitation of Liability
We provide a thirty (30) day functional warranty following final deployment to rectify any bugs or layout defects that deviate from the agreed specifications at zero additional cost.
Limitation of Liability: In no event shall Stackvel Solutions, its directors, or developers be liable for indirect, incidental, punitive, or consequential damages, including loss of profits, commercial business downtime, or third-party server hosting failures. Stackvel’s maximum aggregate liability shall never exceed the total fees actually received by Stackvel Solutions under the applicable Statement of Work.
8. Termination & Governing Jurisdiction
Either party may terminate an engagement for material breach upon fourteen (14) days' written notice if the breach remains uncured. In the event of early termination by Client, Client shall pay for all work completed up to the date of termination.
